Terms of Service

Quote n Bake provides cloud-based tools for managing custom cake and bakery quote requests, including configurable forms, dashboards, notifications, and customer-facing quote flows. Features may vary by subscription plan. We may modify, suspend, or discontinue features with reasonable notice where practicable.

You must provide accurate registration information and keep it current. You are responsible for safeguarding credentials and for all activity under your account. Notify us promptly of unauthorized use. You must be at least eighteen (18) years old or the age of majority in your jurisdiction to enter into these Terms.

You control the content submitted through your tenant account, including customer data collected via public forms ("Customer Data"). You are responsible for the legality of your collection and use of Customer Data, obtaining appropriate consents, and complying with applicable laws (including marketing and privacy laws). You grant Quote n Bake a limited license to host, process, and display Customer Data solely to provide and improve the Services as described in our Privacy Policy.

You agree not to:

• Use the Services in violation of law or third-party rights;
• Transmit malware, attempt unauthorized access, or disrupt the Services or infrastructure;
• Scrape, crawl, or harvest data except as permitted by documented APIs;
• Impersonate others or misrepresent affiliation;
• Use the Services to send unsolicited or unlawful commercial communications;
• Reverse engineer or attempt to extract source code except where permitted by law.

We may suspend or terminate access for violations.

Paid plans are billed according to the pricing presented at purchase or in your account. Payments are processed by third-party processors (e.g. Stripe). Fees are exclusive of applicable taxes unless stated otherwise. Subscriptions renew unless cancelled as described in-product or in your order flow. Late or failed payments may result in suspension of access.

Quote n Bake and its licensors retain all rights in the Services, software, branding, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services during your subscription. You retain ownership of your content; you grant us the rights necessary to operate the Services for you.

Each party may receive non-public information from the other ("Confidential Information"). The receiving party will use reasonable care to protect Confidential Information and use it only for purposes of these Terms. Exclusions include information that is public, independently developed, or rightfully received from a third party.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUOTE N BAKE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. QUOTE N BAKE'S AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO QUOTE N BAKE FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY APPLICABLE LAW (SUCH AS GROSS NEGLIGENCE OR WILLFUL MISCONDUCT).

You will defend and indemnify Quote n Bake and its affiliates, officers, and employees against third-party claims, damages, and costs arising from your content, your use of the Services in breach of these Terms, or your violation of law or third-party rights.

These Terms remain in effect while you use the Services. You may stop using the Services at any time. We may suspend or terminate access for breach, risk, or legal reasons. Upon termination, your right to use the Services ceases; provisions that by nature should survive (including intellectual property, disclaimers, limitations, and indemnity) will survive.

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless mandatory consumer protections in your jurisdiction require otherwise. Disputes will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there, except where prohibited by law.

These Terms constitute the entire agreement regarding the Services and supersede prior agreements on the subject. If a provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger or sale.
